Hela domarna hittar du p\u00e5 Arbetsdomstolen hemsida via l\u00e4nken under kommentarer.<\/p>\n\n<h3 class=\"wp-block-heading\"><a href=\"https:\/\/www.arbetsdomstolen.se\/sv\/meddelade-domar\/2023\/2023-05-10-ad-2023-nr-29\/\">AD 2023 nr 29<\/a><\/h3>\n\n\n\n<p><strong>Fr\u00e5ga om ett bolags upps\u00e4gningar stred mot det s.k. upps\u00e4gningsf\u00f6rbudet i 7 \u00a7 tredje stycket anst\u00e4llningsskyddslagen (\u201dLAS\u201d).<\/strong><\/p>\n\n\n\n<p>Ett bolag (\u201dBolag 1\u201d) bedrev p\u00e5 entreprenad delar av Region Uppsalas busslinjetrafik. Efter ett upphandlingsf\u00f6rfarande beslutade Region Uppsala, den 11 maj 2021, att Bolag 1:s entreprenaduppdrag i Regionen skulle upph\u00f6ra per den 12 juni 2022, och att ett annat bolag (\u201dBolag 2\u201d) skulle bedriva all Regionens busslinjetrafik p\u00e5 entreprenad fr.o.m. dagen d\u00e4rp\u00e5 den 13 juni 2022. Med anledning av det kommande entrepren\u00f6rsbytet sa Bolag 1 upp de arbetstagare som arbetade med busslinjetrafiken i Regionen, till den sista dagen f\u00f6r entreprenaduppdraget. Upps\u00e4gningarna skedde under november och december 2021.<\/p>\n\n\n\n<p>Parterna i m\u00e5let tvistade om huruvida Bolag 1:s upps\u00e4gningar stred mot upps\u00e4gningsf\u00f6rbudet i 7 \u00a7 tredje stycket LAS. Den best\u00e4mmelsen, i den lydelse som var aktuell i m\u00e5len, inneb\u00e4r att vid en s\u00e5dan \u00f6verg\u00e5ng av verksamhet som avses i 6 b \u00a7 LAS ska \u00f6verg\u00e5ngen i sig inte utg\u00f6ra saklig grund f\u00f6r att s\u00e4ga upp arbetstagaren. Tvisten i m\u00e5let avs\u00e5g i huvudsak om det vid upps\u00e4gningstillf\u00e4llena i november och december 2021, med beaktande av s\u00e5dana f\u00f6rh\u00e5llanden som vid ett praktiskt bed\u00f6mande med s\u00e4kerhet kunde \u00f6verblickas, stod klart f\u00f6r Bolag 1 att en \u00f6verg\u00e5ng av dess verksamhet i Region Uppsala skulle \u00e4ga rum i samband med att Bolag 2 tog \u00f6ver driften av all busslinjetrafik i Region Uppsala den 13 juni 2022.<\/p>\n\n\n\n<p>Fackf\u00f6rbundet Kommunal, som var k\u00e4rande i m\u00e5let, hade vidare yrkat att Arbetsdomstolen skulle inh\u00e4mta f\u00f6rhandsavg\u00f6rande fr\u00e5n EU-domstolen om tolkningen av upps\u00e4gningsf\u00f6rbudet i artikel 4.1 i EU:s s.k. \u00f6verl\u00e5telsedirektiv (7 \u00a7 tredje stycket LAS genomf\u00f6r artikel 4.1 f\u00f6rsta stycket i \u00f6verl\u00e5telsedirektivet). Enligt arbetsgivarparterna fanns inte sk\u00e4l att inh\u00e4mta ett f\u00f6rhandsavg\u00f6rande.<\/p>\n\n\n\n<p>Med h\u00e4nvisning till LAS 6 b \u00a7, \u00f6verl\u00e5telsedirektivet, samt Arbetsdomstolens och EU-domstolens praxis, redogjorde Arbetsdomstolen f\u00f6r vad som avses med en \u201d\u00f6verg\u00e5ng av verksamhet\u201d och vad som kr\u00e4vs f\u00f6r att en s\u00e5dan \u00f6verg\u00e5ng ska anses f\u00f6religga. Det f\u00f6ruts\u00e4tts d\u00e4rvid att en ekonomisk enhet g\u00e5r \u00f6ver till en annan arbetsgivare, och att enheten beh\u00e5ller sin identitet efter \u00f6verg\u00e5ngen. Bytet av arbetsgivare ska ske till f\u00f6ljd av avtal. Det ska g\u00f6ras en helhetsbed\u00f6mning i det enskilda fallet, av samtliga omst\u00e4ndigheter som k\u00e4nnetecknar transaktionen.<\/p>\n\n\n\n<p>Arbetsdomstolen framh\u00f6ll att det, i r\u00e4ttspraxis, g\u00f6rs en \u00e5tskillnad mellan tv\u00e5 typer av verksamheter. I verksamheter som bara kan fungera med betydande materiella eller immateriella tillg\u00e5ngar har fr\u00e5gan om dessa tillg\u00e5ngar \u00f6vertagits stor betydelse (f\u00f6r att avg\u00f6ra om det finns \u201didentitet\u201d mellan de ekonomiska enheterna f\u00f6re och efter \u00f6verg\u00e5ngen). Och i verksamheter som huvudsakligen baseras p\u00e5 arbetskraft beh\u00f6ver inte n\u00e5gra betydande materiella eller immateriella tillg\u00e5ngar \u00f6vertas, utan i s\u00e5dana verksamheter kr\u00e4vs det normalt att f\u00f6rv\u00e4rvaren \u00f6vertar en huvuddel \u2013 i f\u00f6rh\u00e5llande till antal och kompetens \u2013 av den personalstyrka som \u00f6verl\u00e5taren hade avdelat f\u00f6r de aktuella arbetsuppgifterna.<\/p>\n\n\n\n<p>N\u00e4r det g\u00e4ller busslinjetrafik p\u00e5 entreprenad framh\u00f6ll Arbetsdomstolen att det framg\u00e5r av praxis att detta utg\u00f6r en s\u00e5dan verksamhet som bara kan fungera med betydande materiella tillg\u00e5ngar. Har materiella tillg\u00e5ngar \u2013 i synnerhet bussar \u2013 inte \u00f6vertagits i betydande utstr\u00e4ckning mellan entrepren\u00f6rerna leder det d\u00e4rmed som huvudregel till att verksamheten inte anses ha bevarat sin identitet. Om sk\u00e4let till att de materiella tillg\u00e5ngarna inte \u00f6vertagits grundas i en upphandlande myndighets r\u00e4ttsliga, milj\u00f6m\u00e4ssiga eller tekniska krav, finns dock inte n\u00f6dv\u00e4ndigtvis n\u00e5got hinder mot att den ekonomiska enheten anses ha bevarat sin identitet. I s\u00e5dana fall ska en bed\u00f6mning ist\u00e4llet g\u00f6ras av andra omst\u00e4ndigheter s\u00e5som om merparten av bussf\u00f6rarna \u00f6vertagits och om verksamheten fortsatt utan avbrott.<\/p>\n\n\n\n<p>Arbetsdomstolen uttalade vidare att avg\u00f6rande f\u00f6r om upps\u00e4gningsf\u00f6rbudet f\u00f6r \u00f6verl\u00e5taren \u00e4r till\u00e4mpligt till f\u00f6ljd av ett kommande entrepren\u00f6rsbyte \u00e4r, n\u00e4r talan f\u00f6rs mot \u00f6verl\u00e5taren, om det vid upps\u00e4gningstillf\u00e4llet, med beaktande av s\u00e5dana f\u00f6rh\u00e5llanden som vid ett praktiskt bed\u00f6mande med s\u00e4kerhet kunde \u00f6verblickas, stod klart att en \u00f6verg\u00e5ng av verksamhet kommer att \u00e4ga rum under upps\u00e4gningstiden eller i anslutning till att denna l\u00f6per ut (AD 2014 nr 1).<\/p>\n\n\n\n<p>D\u00e4refter \u00f6vergick Arbetsdomstolen till bed\u00f6mningen i det aktuella fallet. Givet omst\u00e4ndigheterna i fallet kr\u00e4vdes det, enligt Arbetsdomstolens bed\u00f6mning, att det vid upps\u00e4gningstillf\u00e4llena, med beaktande av s\u00e5dana f\u00f6rh\u00e5llanden som vid ett praktiskt bed\u00f6mande med s\u00e4kerhet kunde \u00f6verblickas, \u00e5tminstone stod klart att huvuddelen av arbetstagarna i verksamheten skulle tas \u00f6ver av Bolag 2 i samband med entrepren\u00f6rsbytet f\u00f6r att det skulle kunna vara fr\u00e5ga om en \u00f6verg\u00e5ng av en del av en verksamhet enligt 6 b \u00a7 LAS. Det kr\u00e4vdes dessutom att Bolag 1:s verksamhet i Region Uppsala ans\u00e5gs utg\u00f6ra en s.k. \u201dekonomisk enhet\u201d. Eftersom bussarna inte skulle \u00f6vertas i n\u00e5gon n\u00e4mnv\u00e4rd omfattning \u2013 enligt vad Bolag 1 kunde \u00f6verblicka vid upps\u00e4gningstillf\u00e4llena bara 22 av 196 bussar \u2013 kunde det n\u00e4mligen inte anses att en busslinjeverksamhet bevarat sin identitet om inte huvuddelen av arbetstagarna skulle tas \u00f6ver, ans\u00e5g Arbetsdomstolen.<\/p>\n\n\n\n<p>Arbetsdomstolen konstaterade d\u00e4refter att Bolag 2 inte hade tr\u00e4ffat anst\u00e4llningsavtal med n\u00e5gon arbetstagare i Bolag 1:s verksamhet i Region Uppsala redan vid upps\u00e4gningstillf\u00e4llena, utan f\u00f6rst i februari 2022 b\u00f6rjade Bolag 2 tr\u00e4ffa anst\u00e4llningsavtal med arbetstagare i Bolag 1:s verksamhet inf\u00f6r entrepren\u00f6rsbytet. Enligt Arbetsdomstolen talade mycket f\u00f6r att Bolag 1 i och f\u00f6r sig k\u00e4nde till att Bolag 2 avs\u00e5g att inf\u00f6r entrepren\u00f6rsbytet rekrytera s\u00e5 m\u00e5nga arbetstagare i Bolag 1:s verksamhet i Region Uppsala som Bolag 2 ans\u00e5g m\u00f6jligt. Det framgick emellertid att Bolag 2 avs\u00e5g att g\u00f6ra n\u00e5gon form av urval bland arbetstagarna, och s\u00e5ledes inte avs\u00e5g att utan vidare erbjuda samtliga dessa anst\u00e4llningar. Hur m\u00e5nga intresserade som skulle klara av Bolag 2:s uppst\u00e4llda urvalskriterier var inte k\u00e4nt vid upps\u00e4gningstillf\u00e4llena. Arbetsdomstolen utgick vidare fr\u00e5n att Bolag 1 inte k\u00e4nde till hur m\u00e5nga arbetstagare som hade anm\u00e4lt intresse f\u00f6r en anst\u00e4llning hos Bolag 2.<\/p>\n\n\n\n<p>Av dessa samt ytterligare sk\u00e4l ans\u00e5g Arbetsdomstolen att det, vid upps\u00e4gningstillf\u00e4llena, fanns m\u00e5nga os\u00e4kerhetsfaktorer kring om huvuddelen av arbetstagarna skulle komma att tas \u00f6ver eller inte. Enligt Arbetsdomstolens mening kunde det d\u00e4rf\u00f6r inte vid upps\u00e4gningstillf\u00e4llena, med beaktande av s\u00e5dana f\u00f6rh\u00e5llanden som vid ett praktiskt bed\u00f6mande med s\u00e4kerhet kunde \u00f6verblickas, anses ha st\u00e5tt klart att huvuddelen av arbetstagarna i verksamheten i Region Uppsala skulle \u00f6vertas av Bolag 2 i samband med entrepren\u00f6rsbytet.<\/p>\n\n\n\n<p>Arbetsdomstolens bed\u00f6mningar innebar att upps\u00e4gningsf\u00f6rbudet i 7 \u00a7 tredje stycket LAS inte var till\u00e4mpligt, och att upps\u00e4gningarna hade saklig grund i form av den arbetsbrist som skulle intr\u00e4da hos Bolag 1 vid entrepren\u00f6rsbytet. Kommunals talan avslogs d\u00e4rmed.<\/p>\n\n\n\n<p>Betr\u00e4ffande Kommunals beg\u00e4ran om att Arbetsdomstolen skulle inh\u00e4mta f\u00f6rhandsavg\u00f6rande fr\u00e5n EU-domstolen gjorde Arbetsdomstolen f\u00f6rh\u00e5llandevis utf\u00f6rliga \u00f6verv\u00e4ganden och uttalanden i dessa fr\u00e5gor. Arbetsdomstolen uttalade sig bl.a. om de krav p\u00e5 f\u00f6rutsebarhet som f\u00f6ljer av den s.k. r\u00e4ttss\u00e4kerhetsprincipen, och om hur domstolens till\u00e4mpning av r\u00e4ttss\u00e4kerhetsprincipen var f\u00f6renlig med \u00f6verl\u00e5telsedirektivets syfte och den s.k. effektivitetsprincipen.<\/p>\n\n\n\n<p>Sammanfattningsvis ans\u00e5g Arbetsdomstolen att det inte var n\u00f6dv\u00e4ndigt att beg\u00e4ra f\u00f6rhandsavg\u00f6rande fr\u00e5n EU-domstolen f\u00f6r att kunna d\u00f6ma i m\u00e5let. Kommunals yrkande d\u00e4rom avslogs d\u00e4rmed.<\/p>\n\n\n\n<p>Kommunal \u00e5lades, som f\u00f6rlorande part, att ers\u00e4tta arbetsgivarparternas r\u00e4tteg\u00e5ngskostnader.<\/p>\n\n\n\n<p><a href=\"https:\/\/www.arbetsdomstolen.se\/sv\/meddelade-domar\/\" target=\"_blank\" rel=\"noreferrer noopener\">L\u00e4s fler domar p\u00e5 Arbetsdomstolens hemsida<\/a><\/p>\n","protected":false},"excerpt":{"rendered":"<p>AD 2023 nr 29 Fr\u00e5ga om ett bolags upps\u00e4gningar stred mot det s.k. upps\u00e4gningsf\u00f6rbudet i 7 \u00a7 tredje stycket anst\u00e4llningsskyddslagen (\u201dLAS\u201d).
