Hela domarna hittar du p\u00e5 Arbetsdomstolen hemsida via l\u00e4nken under kommentarer.<\/p>\n<h3><strong>AD 2022 nr 44<\/strong><\/h3>\n<p>Ett bolag hade ans\u00f6kt om och beviljats f\u00f6retagsrekonstruktion varefter tv\u00e5 anst\u00e4llda, tillika medlemmar i Unionen (\u201df\u00f6rbundet\u201d), blev uppsagda pga. arbetsbrist. Fr\u00e5ga i m\u00e5let g\u00e4llde huruvida vissa av arbetstagarnas fordringar omfattades av det fastst\u00e4llda ackordet eller inte.<\/p>\n<p>Bolaget ans\u00f6kte om och beviljades f\u00f6retagsrekonstruktion den 24 januari 2020 (den s.k. \u201dkritiska tidpunkten\u201d). Den 25 maj 2020 fastst\u00e4llde tingsr\u00e4tten ett ackordsf\u00f6rslag, enligt vilket varje fordrings\u00e4gare med oprioriterade fordringar erbj\u00f6ds betalning med 25 procent av fordringarna. Rekonstruktionen upph\u00f6rde samma dag.<\/p>\n<p>Den ena arbetstagaren, DJ, sades upp pga. arbetsbrist den 5 mars 2020. Han arbetsbefriades fr.o.m. den 1 maj 2020 och hans sista anst\u00e4llningsdag var den 5 mars 2021 (tolv m\u00e5naders upps\u00e4gningstid).<\/p>\n<p>Den andra arbetstagaren, OB, sades upp pga. arbetsbrist den 17 februari 2020. Han arbetsbefriades fr.o.m. den 21 februari 2020 och anst\u00e4llningen upph\u00f6rde den 17 maj 2020 (tre m\u00e5naders upps\u00e4gningstid).<\/p>\n<p>I juni 2020 betalade arbetsgivaren viss ers\u00e4ttning till DJ och OB, med till\u00e4mpning av det fastst\u00e4llda ackordet. Upps\u00e4gningsl\u00f6nen till DJ och OB t\u00e4cktes till viss del av l\u00f6negarantin, dock inte s\u00e5vitt avs\u00e5g perioden 1 september 2020 \u2013 5 mars 2021 f\u00f6r DJ, och f\u00f6r perioden 24 mars \u2013 17 maj 2020 f\u00f6r OB.<\/p>\n<p>G\u00e4llande DJ var parterna i m\u00e5let dels oense om huruvida DJs fordringar p\u00e5 upps\u00e4gningsl\u00f6n f\u00f6r tiden 1 september 2020 \u2013 5 mars 2021 omfattades av det offentliga ackordet, samt om DJs ers\u00e4ttning f\u00f6r arbetstidsf\u00f6rkortning intj\u00e4nad 30 juni 2020 \u2013 5 mars 2021 omfattades av det offentliga ackordet.<\/p>\n<p>G\u00e4llande OB var parterna i m\u00e5let oense om huruvida OBs fordringar p\u00e5 f\u00f6ljande omfattades av det offentliga ackordet; dels fordringar p\u00e5 upps\u00e4gningsl\u00f6n f\u00f6r tiden 24 mars 2020 \u2013 17 maj 2020, dels ers\u00e4ttning f\u00f6r arbetstidsf\u00f6rkortning intj\u00e4nad 24 mars 2020 \u2013 17 maj 2020, samt semesterers\u00e4ttning intj\u00e4nad 1 april 2019 \u2013 17 maj 2020.<\/p>\n<p>Parterna i m\u00e5let var bl.a. oense om fordringarna uppkommit f\u00f6re eller efter den kritiska tidpunkten (den 24 januari 2020).<\/p>\n<p>Den 1 augusti 2022 tr\u00e4dde en ny f\u00f6retagsrekonstruktionslag i kraft (lag 2022:964). Arbetsdomstolen konstaterade dock inledningsvis att den \u00e4ldre f\u00f6retagsrekonstruktionslagen fr\u00e5n 1996 g\u00e4llde vid pr\u00f6vningen i m\u00e5let, eftersom bolagets ans\u00f6kan om f\u00f6retagsrekonstruktion gjordes f\u00f6re den nya lagens ikrafttr\u00e4dande.<\/p>\n<p>Enligt lagen om f\u00f6retagsrekonstruktion ska oprioriterade fordringar som anses ha uppkommit f\u00f6re en ans\u00f6kan om f\u00f6retagsrekonstruktion (den kritiska tidpunkten) omfattas av ett offentligt ackord, och ska d\u00e4rmed s\u00e4ttas ned p\u00e5 s\u00e4tt som anges i det antagna ackordet. En fordran som \u00e4r f\u00f6renad med f\u00f6rm\u00e5nsr\u00e4tt omfattas inte av ett offentligt ackord. L\u00f6negaranti betalas inte f\u00f6r l\u00f6nefordringar som bel\u00f6per p\u00e5 tiden efter en m\u00e5nad efter beslutet om f\u00f6retagsrekonstruktion. I normalfallet inneb\u00e4r detta att arbetstagaren under den f\u00f6rsta m\u00e5naden efter beslutet om f\u00f6retagsrekonstruktion inte kan inneh\u00e5lla sin prestation. Efter att en m\u00e5nad f\u00f6rflutit fr\u00e5n den kritiska tidpunkten \u00e4r arbetstagaren inte skyldig att prestera enligt avtalet annat \u00e4n mot fullt vederlag. Om arbetsgivaren d\u00e5 tillgodogjort sig arbetstagarens prestation, omfattas l\u00f6nefordran inte av ackordet.<\/p>\n<p>G\u00e4llande DJ fann Arbetsdomstolen att dennes fordringar fick anses ha uppkommit efter den kritiska tidpunkten. Fordringarna omfattades d\u00e4rmed inte av det offentliga ackordet. Arbetsdomstolen bif\u00f6ll d\u00e4rf\u00f6r f\u00f6rbundets talan om l\u00f6n och ers\u00e4ttningar till DJ. Arbetsdomstolen beaktade i sin bed\u00f6mning bl.a. f\u00f6ljande: DJ arbetade i tiden efter det att en m\u00e5nad f\u00f6rflutit fr\u00e5n ans\u00f6kan om f\u00f6retagsrekonstruktion den 24 januari 2020. Hans l\u00f6neanspr\u00e5k f\u00f6r tid efter 24 februari 2020 skulle inte ha omfattats av f\u00f6rm\u00e5nsr\u00e4tt, om bolaget ist\u00e4llet f\u00f6rsatts i konkurs. DJ hade d\u00e4rf\u00f6r f\u00f6r arbetad tid efter 24 februari 2020 inte haft r\u00e4tt till l\u00f6negarantiers\u00e4ttning. Efter den 24 februari 2020 var DJ d\u00e4rf\u00f6r ej skyldig att forts\u00e4tta prestera enligt sitt anst\u00e4llningsavtal utan att f\u00e5 fullt betalt. Arbetsdomstolen ans\u00e5g d\u00e4rf\u00f6r att DJs anspr\u00e5k p\u00e5 l\u00f6n och ers\u00e4ttningar f\u00f6r intj\u00e4nad arbetstidsf\u00f6rkortning f\u00f6r tid efter 24 februari 2020 skulle bed\u00f6mas p\u00e5 samma s\u00e4tt som om ett nytt avtal hade tr\u00e4ffats efter den kritiska tidpunkten. Arbetsdomstolen h\u00e4nvisade d\u00e4rvid till AD 2022 nr 26 samt NJA 2014 s. 537 punkten 8.<\/p>\n<p>G\u00e4llande OB:s anspr\u00e5k gjorde Arbetsdomstolen motsatt bed\u00f6mning. F\u00f6rbundets yrkanden till OB avslogs d\u00e4rf\u00f6r. Slutsatsen grundades p\u00e5 f\u00f6ljande \u00f6verv\u00e4ganden av Arbetsdomstolen: OB hade inte arbetat efter att han arbetsbefriades den 21 februari 2020. OB hade s\u00e5ledes inte arbetat alls efter den 24 februari 2020 \u2013 vilket var en m\u00e5nad efter den kritiska tidpunkten. Eftersom OB ej arbetat i tiden efter det att en m\u00e5nad f\u00f6rflutit fr\u00e5n bolagets ans\u00f6kan om f\u00f6retagsrekonstruktion fann Arbetsdomstolen att OBs fordringar inte var undantagna fr\u00e5n det offentliga ackordet pga. utf\u00f6rt arbete. Arbetsdomstolen ans\u00e5g vidare att OBs fordringar grundade sig p\u00e5 hans anst\u00e4llningsavtal, som tr\u00e4ffats f\u00f6re den kritiska tidpunkten. Det f\u00f6rh\u00e5llandet att arbetsgivaren och f\u00f6rbundet enats om bl.a. OBs upps\u00e4gning och datum f\u00f6r dennes arbetsbefrielse vid en MBL-f\u00f6rhandling den 10 februari 2020 \u2013 dvs. efter den kritiska tidpunkten \u2013 f\u00f6r\u00e4ndrade inte detta, eftersom Arbetsdomstolen ans\u00e5g att detta endast innebar en precisering av hur redan befintliga anspr\u00e5k skulle regleras.<\/p>\n<p>I m\u00e5let gjorde Arbetsdomstolen en f\u00f6rh\u00e5llandevis utf\u00f6rlig genomg\u00e5ng av huruvida OBs fordringar omfattades av f\u00f6rm\u00e5nsr\u00e4tt, eftersom f\u00f6rbundet bl.a. gjorde g\u00e4llande att OBs fordringar inte omfattades av det offentliga ackordet p\u00e5 grund d\u00e4rav. I sin bed\u00f6mning i denna del h\u00e4nvisade Arbetsdomstolen bl.a. till litteratur av Erik Danhard, och till ett av arbetsgivarparterna i m\u00e5let \u00e5beropat r\u00e4ttsutl\u00e5tande av professor emeritus Mikael M\u00f6ller. Arbetsdomstolens slutsats i denna del blev emellertid att OBs fordringar inte var f\u00f6renade med f\u00f6rm\u00e5nsr\u00e4tt, och Arbetsdomstolen bif\u00f6ll s\u00e5ledes inte f\u00f6rbundets talan avseende OB p\u00e5 denna grund heller.<\/p>\n<p>Eftersom f\u00f6rbundets talan avseende DJ bif\u00f6lls fullt ut \u00e5lade Arbetsdomstolen arbetsgivarparterna att ers\u00e4tta f\u00f6rbundets r\u00e4tteg\u00e5ngskostnader i den delen.
