Hela domarna hittar du p\u00e5 Arbetsdomstolen hemsida via l\u00e4nken under kommentarer.<\/p>\n<h3><strong>AD 2022 nr 11<\/strong><\/h3>\n<p>M\u00e5let g\u00e4llde om en ridklubb var skyldigt att betala ett avg\u00e5ngsvederlag till en fd anst\u00e4lld ridinstrukt\u00f6r. Ridklubben hade i tingsr\u00e4tt befriats fr\u00e5n betalningsskyldighet varp\u00e5 ridinstrukt\u00f6ren \u00f6verklagat till Arbetsdomstolen.<\/p>\n<p>Av utredningen framgick att ridinstrukt\u00f6ren, under de sista \u00e5ren av anst\u00e4llning, hamnat i konflikter med bl a verksamhetschefen. Ett m\u00f6te h\u00f6lls mellan ridinstrukt\u00f6ren, ridklubbens d\u00e5varande styrelseordf\u00f6rande och tre andra d\u00e5varande styrelseledam\u00f6ter. Enligt protokoll fr\u00e5n m\u00f6tet beslutade ridklubbens styrelse att \u201dk\u00f6pa ut\/l\u00f6sa ut\u201d ridinstrukt\u00f6ren f\u00f6r ett eng\u00e5ngsbelopp om 550\u00a0000 kr, samt att arbetstagarens anst\u00e4llning skulle upph\u00f6ra visst datum. Protokollet undertecknades av d\u00e5varande styrelseordf\u00f6randen, tv\u00e5 d\u00e5varande styrelseledam\u00f6ter och ridinstrukt\u00f6ren. Ridinstrukt\u00f6ren avslutade sin anst\u00e4llning men ridklubben betalade inte n\u00e5got avg\u00e5ngsvederlag.<\/p>\n<p>Ridklubben gjorde i huvudsak g\u00e4llande att den inte ing\u00e5tt n\u00e5got bindande avtal med ridinstrukt\u00f6ren d\u00e5 de n\u00e4rvarande vid m\u00f6tet inte utgjorde en beslutsf\u00f6r styrelse. Avtalet om avg\u00e5ngsvederlag motsvarande tre \u00e5rsl\u00f6ner var dessutom uppenbart osk\u00e4ligt och of\u00f6renligt med f\u00f6reningens \u00e4ndam\u00e5l och syfte. De n\u00e4rvarande fr\u00e5n styrelsen hade varken beh\u00f6righet eller befogenhet att ing\u00e5 avtalet och ridinstrukt\u00f6ren ins\u00e5g eller borde ha insett det.<\/p>\n<p>Arbetsdomstolen fann utrett att avtalet om avg\u00e5ngsvederlag ing\u00e5tts av beh\u00f6riga firmatecknare f\u00f6r ridklubben. Parterna hade vid m\u00f6tet f\u00f6r avsikt att ing\u00e5 avtalet och protokollet speglade det huvudsakliga inneh\u00e5llet. Ridklubbens \u00e4ndam\u00e5l och syfte var att fr\u00e4mja ridningen. F\u00f6r detta syfte bedrevs verksamheten med ett antal anst\u00e4llda. Mot den bakgrunden delade inte Arbetsdomstolen ridklubbens uppfattning om att ett avtal om kontant ers\u00e4ttning f\u00f6r att avsluta en av dessa anst\u00e4llningar skulle falla utanf\u00f6r f\u00f6reningens syfte.<\/p>\n<p>Det kunde emellertid konstateras att f\u00f6retr\u00e4darna saknade befogenhet fr\u00e5n styrelsen att ing\u00e5 avtalet. Fr\u00e5ga var om ridinstrukt\u00f6ren insett eller borde ha insett det. Bevisb\u00f6rdan f\u00f6r att hon var i sk ond tro, och att avtalet s\u00e5ledes skulle vara ogiltigt, l\u00e5g p\u00e5 ridklubben. Ridklubben inv\u00e4nde att de n\u00e4rvarande fr\u00e5n styrelsen hade tagit ridinstrukt\u00f6rens parti i klubbens interna konflikter och att det gick anm\u00e4rkningsv\u00e4rt snabbt att komma fram till avtalet som avs\u00e5g en betydande summa pengar. Detta var dock inte tillr\u00e4ckligt f\u00f6r att bevisa att ridinstrukt\u00f6ren var i onds tro om deras befogenhet. Arbetsdomstolen konstaterade att f\u00f6retr\u00e4darna vid f\u00f6rhandlingsm\u00f6tet var beh\u00f6riga att f\u00f6retr\u00e4da ridklubben och protokollet fr\u00e5n m\u00f6tet angav att styrelsen dessf\u00f6rinnan, vid ett styrelsem\u00f6te, hade beslutat att \u201dl\u00f6sa ut\/k\u00f6pa ut\u201d ridinstrukt\u00f6ren. Ridinstrukt\u00f6ren kunde s\u00e5ledes utg\u00e5 ifr\u00e5n att de hade befogenhet att ing\u00e5 avtalet.<\/p>\n<p>Slutligen pr\u00f6vade Arbetsdomstolen om avtalet skulle j\u00e4mkas. Ridklubben gjorde g\u00e4llande att avg\u00e5ngsvederlaget var osk\u00e4ligt h\u00f6gt i f\u00f6rh\u00e5llande till bland annat ridinstrukt\u00f6rens m\u00e5nadsers\u00e4ttning och det h\u00f6gsta normerade skadest\u00e5nd hon hade kunnat f\u00e5 enligt anst\u00e4llningsskyddslagen. Arbetsdomstolen fann att ridklubben, mot bakgrund av de l\u00e5ngvariga konflikterna som medf\u00f6rt stora p\u00e5frestningar p\u00e5 verksamheten, men som enligt f\u00f6reningen inte utgjorde saklig grund f\u00f6r upps\u00e4gning, hade ett tydligt intresse av att tr\u00e4ffa en avsluts\u00f6verenskommelse med ridinstrukt\u00f6ren. Avg\u00e5ngsvederlaget om 550\u00a0000 kr var visserligen p\u00e5tagligt h\u00f6gt i f\u00f6rh\u00e5llande till ridinstrukt\u00f6rens m\u00e5nadsers\u00e4ttning p\u00e5 omkring 10\u00a0000 \u2013 15\u00a0000 kr. Vilken risk f\u00f6r kostnader och ol\u00e4genheter ridklubben kunde t\u00e4nkas st\u00e5 om anst\u00e4llningen f\u00e5tt best\u00e5 eller avslutats, var enligt Arbetsdomstolen sv\u00e5r att bed\u00f6ma. Av betydelse var \u00e4ven att ridinstrukt\u00f6ren f\u00f6reslagit ett h\u00f6gre avg\u00e5ngsvederlag och att det var ridklubbens f\u00f6retr\u00e4dare som f\u00f6reslagit beloppet om 550\u00a0000 kr. Mot bakgrund av att arbetstagaren typiskt sett \u00e4r den svagare parten i ett anst\u00e4llningsf\u00f6rh\u00e5llande finns det sk\u00e4l till \u00e5terh\u00e5llsamhet med att j\u00e4mka avtalsvillkor med st\u00f6d av 36 \u00a7 avtalslagen till nackdel f\u00f6r en arbetstagare.
